These Terms of Sale (« T&Cs ») define the rights and obligations of the parties in the supply of IT services by William Agasvari, freelancer (hereinafter « the Provider »), in particular managed operations, software development, server administration, technical support and telephony. They apply to any quote, purchase order or contract entered into with a professional client (hereinafter « the Client »).

William Agasvari, freelancer, offers the following services, by quote and tailored to the Client's needs:
Every service is subject to a prior quote specifying the scope, deliverables, deadlines and price. Signing the quote (or purchase order) by the Client constitutes acceptance of these terms of sale.
Depending on the nature of the service, the Client must provide the Provider with:
The Client is solely responsible for providing these credentials and ensuring its infrastructure meets the prerequisites before the service starts.
Prices are quoted in euros (EUR). Under article 293 B of the French General Tax Code, VAT does not apply (micro-entrepreneur VAT exemption regime). Prices may be revised by the Publisher at any time, but services will be invoiced based on the prices in force at the time of order.
Service prestations (emergency response, audit, managed ops, integration, ongoing support): a deposit of 30% of the total amount is due upon order. This deposit binds both parties and triggers the start of work. The remaining 70% balance is invoiced upon delivery of the prestation, unless a different schedule is agreed in writing between the parties.
Development prestations (custom web application, software integration, AI agent, rebuild): payment is split in three milestones — 30% upon order (slot reservation, scoping and development kick-off), 40% at pre-production handover (project delivered on a staging environment, functional validation by the Client), 30% at final delivery (deployment and installation on the Client's production environment).
Project scoping: every development project is framed by a detailed technical-functional specification document, listing the deliverables as check-box items (features, screens, integrations, technical constraints, milestones). This specification is jointly validated by the Client and the Provider before development starts and constitutes the contractual scope of the prestation.
Scope changes: any request to add or significantly modify functional items not covered by the initial specification will be subject to a complementary quote, priced and submitted for the Client's approval. Once accepted, this complementary quote follows the same payment terms as the main prestation (30% on order, 40% at pre-production, 30% at final delivery).
Hosting during development: unless the Client requests otherwise in writing, the full work-in-progress project (code, database, staging environment) is hosted on the Provider's infrastructure for reasons of security, continuity and operational efficiency. Upon final validation, the project is installed on the Client's infrastructure (cloud, dedicated server, shared hosting) according to the agreed terms, with the documentation and credentials needed for autonomous operation.
At the Client's request, the mission may be contracted and invoiced through the Malt platform (William Agasvari's account at malt.fr). This channel is mandatory if the Client wishes to benefit from funds held in escrow by a trusted third party until validation of the prestation.
Factoring payment: at the Client's request, payment may go through a factoring solution (e.g. Cash In Time) or any equivalent platform. In this scheme, a third-party financer pays the Provider the invoiced amount on accelerated terms and then collects from the Client according to terms agreed between them. Using factoring does not alter the prestation scope, milestones, or the Client's contractual obligations toward the Provider.
Net 30 payment terms: subject to prior file review (length of the commercial relationship, Client's size and solvency, prestation amount), the Provider may grant a 30-day payment term from invoice date. This facility requires the Client to provide at least one of the following guarantees: a purchase order signed by an authorized officer, a solvency certificate, a first-demand bank guarantee, or contracting through a trusted third-party platform (Malt or factoring). Without a guarantee deemed satisfactory by the Provider, the standard milestones above apply and payment is due upon receipt of invoice.
Any late payment will automatically trigger late-payment penalties calculated at the prevailing legal interest rate, plus a flat-rate collection-cost indemnity of €40 (art. L441-10 and D441-5 of the French Commercial Code).
The duration of each mission is specified in the quote. For fixed-price prestations (development, audit, integration), the mission ends upon Client-validated delivery. For recurring prestations (managed operations, support, run), the contract is concluded for a fixed term renewable by tacit agreement, unless one of the parties terminates it by email to contact@agasvari.com at least 30 days before the renewal date.
These T&Cs are intended for professionals (B2B). Pursuant to article L221-3 of the French Consumer Code, the right of withdrawal does not apply when the Client is a professional acting in the course of its business and the contract relates to the main object of that business.
Before any commitment, the Provider offers a free initial discussion (video call or phone) allowing the Client to scope the need and evaluate the collaboration.
For recurring prestations, either party may terminate the contract with 30 days' written notice sent by email to contact@agasvari.com. Services delivered up to the effective termination date remain payable.
The Provider reserves the right to suspend or terminate the service in the event of non-payment, breach of these T&Cs or abusive use by the Client, after a formal notice that has gone unaddressed for 8 days.
Technical support is provided exclusively by William Agasvari. Support levels, intervention slots and response times are defined in the quote or framework contract signed by the Client.
The Provider undertakes to deliver its services with due diligence and to professional standards. Its liability is limited to direct and foreseeable damage arising from the execution of the prestation, capped at the amount invoiced for the prestation concerned. Under no circumstances will the Provider be held liable for indirect damages (loss of data, loss of revenue, business interruption, etc.).
The Provider cannot be held responsible for malfunctions linked to the Client's infrastructure, third-party software, network operators or any element outside the direct scope of the prestation.
For custom development prestations ordered by the Client, the deliverables (source code, configurations, documentation) become the full and exclusive property of the Client after full payment of the prestation. The Provider retains ownership of its tools, methods, internal frameworks, scripts and pre-existing generic libraries, which may be reused on other missions. Rights to third-party software (open source, proprietary) remain with their respective authors and are subject to their own licences.
Personal data collected in the course of the commercial relationship is processed in accordance with our Privacy Policy.
These Terms of Sale are governed by French law. Any dispute relating to the interpretation or execution hereof shall be submitted to the competent courts of Paris, after an attempt at amicable resolution.
The Publisher reserves the right to modify these Terms of Sale. New terms will be communicated to the Client at least 30 days before taking effect. Continued use of the service after this date constitutes acceptance.
